Terms of Service

1. What PayUp is
PayUp is invoicing software. You create invoices, send a payment link, and your customer pays by card. We are not a bank, a payment processor, or a party to any transaction between you and your customers.
2. Payments go directly to you
Payments are processed by Stripe (and optionally PayPal) into an account that you own and control. We never hold, touch, or take a cut of your money. Your use of Stripe is governed by the Stripe Connected Account Agreement, which you accept when you connect your account.
3. Refunds, chargebacks and disputes are yours
You are responsible for refunds, chargebacks, negative balances and disputes on payments you receive. If a customer disputes a payment, it is settled between you, your customer, and Stripe. PayUp is not liable for these amounts and cannot intervene in a dispute on your behalf.
4. Your responsibilities
- Invoice only for goods or services you have genuinely provided or agreed to provide.
- Keep your login credentials secure. You are responsible for activity on your account.
- Do not use PayUp for anything unlawful, fraudulent, or prohibited by Stripe's restricted businesses list.
- Provide accurate business and tax information where required.
- Comply with the laws that apply to you, including tax and consumer protection law.
5. Your customers' data
When you add a client's name and email to an invoice, you are the controller of that information and we process it on your behalf. Only send invoices to people who are expecting them.
6. Availability
PayUp is provided as-is, without warranty. We do not guarantee uninterrupted availability, and we are not liable for losses arising from downtime, delayed reminders, or undelivered email. Payment records held by Stripe are the definitive record of any transaction.
7. Ending your account
You may delete your account at any time from Settings, which permanently removes your data from PayUp. We may suspend or close accounts that breach these terms or that Stripe restricts. Deleting your PayUp account does not close your Stripe account or cancel a pending payout.
8. Limitation of liability
To the extent permitted by law, our total liability to you for any claim relating to PayUp is limited to the amount you have paid us for the service in the twelve months before the claim.
9. Changes
We may update these terms. Material changes will be notified by email to the address on your account. Continuing to use PayUp after a change means you accept it.
